For Sellers
A thoughtful counterparty for an important ownership decision.
Selling a private investment requires attention to economics, process, and relationships. Stoneledge Capital seeks to understand what matters to you, evaluate the assets carefully, and communicate clearly as a potential transaction develops.
What a transaction may address
Reasons owners start the conversation.
Liquidity
Liquidity for an LP interest, private company stake, existing credit asset, or portfolio.
Simplification
Simplification of remaining fund holdings, commitments, or legacy structures.
Reallocation
Reallocation of capital and management attention.
Transition
A transition to an owner with a different investment horizon.
How the process works
Four stages, clearly communicated.
- Initial discussionShare a high-level description of the assets, ownership position, and objectives. Avoid sending confidential or restricted materials before an appropriate confidentiality arrangement is in place.
- Preliminary assessmentWe assess fit and identify the information required to evaluate the opportunity. Where appropriate, the parties establish confidentiality arrangements before further exchange.
- Diligence and proposalWe review the underlying business, security terms, financial information, and transfer requirements. If there is a basis to proceed, we discuss proposed economics and transaction structure.
- Documentation and closingA potential transaction progresses through definitive agreements, required consents, and agreed closing conditions.
Helpful information for an initial conversation
Asset or portfolio overview; seller and ownership type; approximate position size; reason for considering a sale; and desired timing.
Detailed diligence may subsequently include financial statements, capitalization information, security documents, fund obligations where relevant, and transfer provisions.
Do you consider single assets and portfolios?
Yes. We evaluate one-off purchases of company stakes, LP interests, SPV interests, and existing credit assets, as well as portfolios and coordinated roll-ups, subject to investment fit and transaction feasibility.
Do you consider LP interests and unfunded commitments?
Yes. We evaluate fund interests together with remaining obligations. Transfers and any assumption of commitments depend on agreed terms and required consents. Any release of the seller's obligations must be established in the relevant documentation.
Do you consider private credit?
Yes. We evaluate existing loans, participations, credit portfolios, and private credit fund interests. The investment case depends on the credit terms, borrower, collateral where applicable, transfer provisions, and repayment or recovery outlook.
Can you combine interests from multiple sellers?
We consider coordinated acquisitions and portfolio roll-ups where there is a clear investment rationale and a workable transaction structure.
Must we sell our entire position?
A partial sale may be considered where the structure, rights, and economics are workable.
Do you require control?
Opportunities are evaluated based on the rights and economics available. The ownership plan will differ between minority and controlling positions.
How do you determine price?
We evaluate the underlying business, capital structure, security rights, funding requirements, expected timing, and potential outcomes. A reported carrying value is one input into that assessment.
How long does a transaction take?
Timing depends on information availability, complexity, consents, and documentation. We discuss a proposed process after an initial review.
